Waaree Energies has announced that its board has approved a capital expenditure of INR 3,900 crore to set up a glass manufacturing plant, while also increasing its stake in its subsidiary Waaree Transpower (formerly known as Kotsons Pvt. Ltd.).

The company will invest the amount through its wholly owned unit, Waaree Green Glass, to develop a facility with a capacity of 2,500 tonnes per day, it said in an exchange filing. The investment will be funded through a mix of debt and internal accruals.

Separately, Waaree Energies said it will raise its shareholding in Waaree Transpower to 75.10 percent from 64.04 percent by acquiring additional equity shares for about INR 190 Crore.

The acquisition, expected to be completed by June 2026, will support capacity expansion and meet capital expenditure requirements of the transformer business, the company said.

Waaree Transpower, incorporated in 1978, manufactures and supplies transformer solutions for a range of applications, including renewable energy. It has a production capacity of 4,000 MVA.

The company said the transaction qualifies as a related-party deal and is being conducted at arm’s length.
