Quality Power to Acquire Winwin Speciality Insulators in INR 315 Crore Deal

The proposed transaction will strengthen Quality Power's presence in the high-voltage equipment segment as investments in transmission infrastructure, grid modernisation, renewable energy integration and HVDC networks gather pace globally.

Quality Power Electrical Equipments has signed a term sheet to acquire 100 percent of Winwin Speciality Insulators Ltd (WSIL), a manufacturer of high-voltage ceramic and polymeric insulators, in a deal valued at about INR 315 crore.

The acquisition, which is subject to due diligence, regulatory approvals and customary closing conditions, is expected to be completed within three months, the company said.

The proposed transaction will strengthen Quality Power's presence in the high-voltage equipment segment as investments in transmission infrastructure, grid modernisation, renewable energy integration and high-voltage direct current (HVDC) networks gather pace globally.

Visakhapatnam-based WSIL operates a fully automated manufacturing facility in the Atchutapuram Special Economic Zone in Andhra Pradesh. The plant produces ceramic insulators for transmission systems up to 1,200 kV and polymeric insulators up to 400 kV, with an installed capacity of about 18,000 metric tonnes per annum.

The facility is spread across 47.7 acres and has access to both Visakhapatnam and Gangavaram ports, providing logistical advantages for domestic and export markets.

The acquisition also brings under Quality Power's umbrella the WS Insulators brand, whose origins date back to 1961. The brand has supplied electro-porcelain insulators to utilities, original equipment manufacturers and engineering contractors in around 55 countries over the past six decades.

"Winwin Speciality Insulators brings together what cannot be built overnight: a high-voltage insulator manufacturing platform, the legacy of the WS Insulators brand built over six decades since 1961, global product qualifications, and a substantial industrial land parcel," Joint Managing Director Bharanidharan Pandyan said in a statement.

Quality Power said the acquisition would expand its addressable market and strengthen its position as a supplier of critical high-voltage equipment to utilities, transmission operators, EPC contractors and industrial customers globally.

The deal follows a series of acquisitions by the company aimed at expanding its capabilities across the power equipment value chain, including stakes in Mehru Electrical and Mechanical Engineers and Sukrut Electric Company.

Quality Power manufactures equipment used in grid connectivity, renewable energy integration and energy-transition projects, serving customers in more than 100 countries.
