Premier Energies Forms Renewable EPC Joint Venture, Extends Timelines for Two Acquisitions till April 2026
Premier Energies has approved a 51:49 EPC joint venture with BA Prerna Renewables and extended acquisition timelines for Ksolare Energy and Transcon Ind until April 15, 2026.

Premier Energies Ltd. has announced the formation of a new joint venture to undertake engineering, procurement and construction (EPC) activities in the renewable energy sector, while extending timelines for two ongoing acquisition deals.
In a regulatory filing, the company said that its board has approved an investment in HeliosAnthos Energies Pvt. Ltd. to set up a joint venture with BA Prerna Renewables Pvt. Ltd. The newly incorporated entity will focus on executing EPC contracts for solar, wind, battery energy storage systems (BESS) and hybrid renewable energy projects.
Premier Energies will hold a 51 percent equity stake in the joint venture with management control, while BA Prerna Renewables will own the remaining 49 percent. The joint venture has an authorised share capital of INR 1 crore and a paid-up capital of INR 10 lakh. Premier Energies will invest INR 10.45 lakh to subscribe to 1,04,550 equity shares of INR 10 each.
The company said that the joint venture will undertake end-to-end EPC activities, including land acquisition, transmission connectivity, statutory approvals, design, engineering, procurement, installation, testing and commissioning of renewable energy projects across India.
Separately, the board approved an extension of the long-stop date for the proposed acquisition of a 51 percent equity stake in Ksolare Energy Pvt. Ltd. The deadline for meeting conditions precedent has now been extended to April 15, 2026, following mutual agreement between the parties.
The company also deferred the acquisition of the balance tranche of equity shares in Transcon Ind Ltd. This extension, approved due to pending fulfilment of conditions outlined in the amended share subscription and shareholders’ agreement, has similarly been pushed to April 15, 2026.
