MNRE Published Model Service Agreement for Electrolyser as a Service

The Ministry of New and Renewable Energy has issued a Model Service Agreement for the ‘Electrolyser as a Service’ (EAAS) business model to streamline contractual arrangements and accelerate the deployment of green hydrogen projects across industrial sectors.

The Ministry of New and Renewable Energy (MNRE) has published a Model Service Agreement (MSA) for the ‘Electrolyser as a Service’ (EAAS) framework under the National Green Hydrogen Mission (NGHM). The model agreement aims to simplify project development by providing a standardised contractual framework for green hydrogen projects.

The National Green Hydrogen Mission was launched with the objective of making India a global hub for the production, usage and export of green hydrogen and its derivatives. To support this objective, MNRE has recognised the growing adoption of the Electrolyser as a Service (EAAS) model, under which technology providers establish, own and operate electrolytic hydrogen generation plants at consumers' premises. This approach enables industrial consumers to access green hydrogen without making significant upfront capital investments in electrolysis infrastructure.

The newly released Model Service Agreement is intended to reduce transaction costs, shorten contract negotiation timelines and promote ease of doing business by offering a common contractual framework for project developers and hydrogen offtakers. It outlines standard industry practices covering the division of responsibilities between parties, performance guarantees, threshold energy consumption metrics and mechanisms for risk allocation.

The 30-page agreement defines the roles and obligations of both the service provider and the customer, including provisions related to project commissioning, performance testing, operations and maintenance, electricity consumption, payment mechanisms, warranties, insurance, force majeure, termination, dispute resolution and other commercial terms. It is designed to serve as a reference document for stakeholders entering into EAAS-based green hydrogen projects.

MNRE has clarified that the Model Service Agreement is purely a facilitative and reference document and is not mandatory. Project developers, technology providers and offtakers are free to negotiate, modify, add or remove clauses based on their commercial requirements, project-specific technical parameters and risk appetite. The ministry also stated that it will not be liable for any legal or commercial disputes arising from agreements executed using the model document.
