KPI Green Energy to Raise INR 475 Crore from Promoter Group Entity Quyosh Energia

KPI Green Energy has approved a preferential issue of equity warrants worth about INR 475 crore to promoter group entity Quyosh Energia.

KPI Green Energy, a KP Group Company, has announced that the company’s Board of Directors have approved a fundraise of about INR 475 crore from a promoter group entity Quyosh Energia through issue of equity warrants.

The board has approved a preferential issue of up to 1.01 crore fully convertible equity warrants at an issue price of at INR 470.30, amounting to a total of about INR 475 crore, the company said in a regulatory filing.

“The Board has approved to create, offer, issue and allot by way of a Preferential Issue of up to 1.01 crore fully convertible equity warrants each carrying a right exercisable by the warrant holder to subscribe to one equity share of the face value of INR 5 each against each warrant at an issue price of INR 470.30, to Quyosh Energia, an entity belonging to the promoter group category,” the company stated in the filing.

As per the approved structure, 25 percent of the issue price will be payable upfront at the time of allotment, while the remaining 75 percent will be payable upon conversion into equity shares. Upon full conversion, Quyosh Energia’s shareholding in KPI Green Energy is expected to rise to about 4.87 percent, the company stated.

The proposal, however, remains subject to shareholders and other regulatory approval. The company will be convening an extraordinary general meeting (EGM) on January 16, 2026, to seek shareholder approval for the proposed preferential issue.
