Enviro Infra Engineers to Acquire Wind EPC Company Suyog Urja for INR 311 Crore

Enviro Infra Engineers has announced expansion into the wind EPC sector with the proposed acquisition of Suyog Urja in a deal valued at INR 311 crore payable in three tranches. In the first tranche, the company will be acquiring 51 percent stake for INR 111 crore. It will complement the company’s presence in the solar and BESS segments.

Enviro Infra Engineers has announced that its wholly-owned subsidiary EIE Renewables has entered into a Share Purchase Agreement to acquire a controlling stake in Suyog Urja, a wind energy EPC company.
 
The acquisition, valued at a total of INR 311 crore, will be completed in three tranches. The company has acquired 51 percent for INR 111 crore. This will be followed by the acquisition of 24 percent stake for INR 108.85 crore in 2027, and the remaining 25 percent for INR 91.15 crore in 2028. The erstwhile Promoter, Chetraj Khadka (with an overall experience of 20 years), will continue as CEO. The transaction will be funded through a 50:50 mix of equity and debt, the company stated.
 
The acquisition enables Enviro to expand into the high-growth wind energy EPC segment, adding a critical capability to its existing renewable portfolio spanning solar and battery energy storage systems (BESS).

Post-acquisition, the consolidated order book of the ENVIRO group stands at approximately INR 5,600 crore – INR 4,400 crore in EPC (INR 2,500 crore water, INR 1,900 crore renewables), along with INR 1,200 crore in O&M and an IPP portfolio comprising 79 MW of solar and 150 MWh of BESS.
 
Suyog Urja operates an asset-light, zero-debt model with PAT margins above 11 percent. For FY26, it is expected to report revenue of INR 355 crore and PAT of 38 crore, supported by an order book of INR 650 crore, the company stated.
